STANDARD TERMS AND CONDITIONS OF SALE
- The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
- Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Edutoys reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. Edutoys will be authorized to suspend any provision of services without prior warning in the event of late payment.
- If a payment is still outstanding more than sixty (60) days after the due payment date, Edutoys reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
- Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Edutoys become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Edutoys in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
- Edutoys undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Edutoys cannot under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
- In order for it to be admissible, Edutoys must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.
- All our contractual relations will be governed exclusively by Botswana law.

- Payment and delivery details when applicable

2. Purpose of Collection:
Personal data is used to:
- Process and fulfil orders
- Send updates, educational content, promotions, and event notifications

Trade Policy
These Terms and Conditions of Sale apply to all transactions with EduToys (Pty) Ltd and override any customer terms, unless expressly agreed in writing.
1. Payment Terms:
Invoices are payable within 21 working days unless otherwise stated. Late payments will incur a 10% interest charge on the outstanding amount. If payment remains overdue for more than 60 days, EduToys reserves the right to refer the matter to a debt recovery agency, and the client will be liable for all recovery and legal costs incurred.
2. Withholding Tax and Foreign Payments:
If your jurisdiction requires withholding tax, the client is responsible for paying that tax to their local authority. EduToys requires full payment of invoiced amounts and will not accept deductions related to foreign tax laws.
3. Delivery and Claims:
EduToys will make every effort to deliver goods and services on time, but delivery timelines are indicative and not binding. All claims must be submitted in writing within 8 days of receiving goods. Claims submitted after this period may not be accepted.
4. Returns and Refunds:
Returns are accepted within 7 days of purchase for unused, unopened items in original packaging with proof of purchase. Refunds are processed within 5–7 working days. EduToys reserves the right to refuse refunds for items not meeting these conditions.
Liability and Indemnity Policy
1. Limitation of Liability:
EduToys supplies products designed to support educational development. However, we accept no liability for:
- Any indirect, incidental, or consequential loss, including business interruption or lost income
- Any injuries, allergic reactions, or property damage resulting from misuse of our products
- Any claims by third parties or end-users unless resulting from proven gross negligence or willful misconduct by EduToys
2. Product Use and Safety:
All products must be used under adult supervision, especially those intended for children under 6 years of age or those containing small parts. It is the buyer’s responsibility to ensure the products are suitable for the child’s age, developmental stage, and environment.
3. Force Majeure:
EduToys shall not be held liable for any delay or failure to deliver resulting from events beyond our reasonable control, including but not limited to natural disasters, government orders, strikes, supply chain disruptions, or transport delays.
4. Indemnity:
The client agrees to indemnify and hold harmless EduToys, its staff, and directors from any and all claims, liabilities, damages, or legal costs arising from:
- Misuse or unauthorised alteration of any product sold by EduToys
- Failure to adhere to product safety guidelines or intended usage
- Third-party claims arising from the resale or use of our products
- Breach of these terms by the client
5. Governing Law:
All transactions and disputes shall be governed exclusively by the laws of the Republic of Botswana. Any legal action must be brought in a court of competent jurisdiction within Botswana.
